Terms and Conditions



1. DEFINITIONS

In these Terms, the following expressions have the following meanings:

Account: A user account registered with the Company on the Website   
Company: WOB Australia Pty Ltd (ABN 72 135 991 810) and registered office at Shop 6, 107 - 109 Mann Street, Gosford NSW 2250.  
Corporate Member: An individual who accesses Company Services through a corporate membership;  
Event: An event held virtually or face to face, including conferences, networking events, masterclasses, workshops, short courses and programs;  
Fee: The sum payable for agreed Services, including ,membership, attending an Event and some Post a Vacancy options;  
Find a Vacancy: The Service provided to Members to access board and committee vacancies listed with the Company;  
Materials: All materials provided or accessed under the Services;  
Member: An individual who pays a Fee to the Company to access Services  
Post a Vacancy Plans: The Services provided to any individual or company seeking to advertise a board or committee role to Company Members. Includes Basic, Standard and Premium Plans.  
Registration Form: A form completed to become a Subscriber or Member of the Company or to register to attend an Event;  
Subscriber:  A non-paying member who subscribes to the Company on the Website.  
Services: The services provided by the Company, including content access, consultancy services, the Vacancy Board, Post a Vacancy Service and Events;  
Terms: These terms and conditions;  
Vacancy Board: The list of vacancies on the Website accessible to Members;  
Website: The website located at www.womenonboards.net;  
WOB: The company  
You: Any user of the Website or a Service, including a Member.

  1. When we use the words "writing" or "written" in these Terms, this will include email unless we say otherwise.
  2. Including means including but not limited to.
  3. A reference to a statute or statutory provision is a reference to it as it is in force for the time being, taking account of any amendment, extension or re-enactment and includes any subordinate legislation for the time being in force made under it.

2. OUR CONTRACT WITH YOU

These are the Terms on which you can access and use our Website and our Services.

2.1 Please ensure that you have read these Terms carefully and check that the details on the Registration Forms are complete and accurate before you submit them. If you think that there is a mistake, please contact us.

2.2 These Terms, our Privacy Policy and any Registration Form constitute the whole agreement between us. If there is any conflict between these documents, the following order of precedence shall prevail: these Terms, our privacy policy, a Registration Form.

 3. MEMBERSHIP & SUBSCRIPTION

3.1 You must pay a Fee to become a Classic Member, Premium Member, Corporate Member or a Champion to access our Member Services. The Fee provides for 12 months of Membership. 

3.2 There is no cost to be a Subscriber. 

3.3 Membership Renewal

a) When you join as a Classic (formerly Full Member), Premium or Champion member your membership is set to Auto-renew every 12 months.

b) Auto-renewal means that your membership renews annually, and your Membership Fee is automatically debited from the credit card you used to transact the membership payment.  This is done via our payment platform, Ezidebit. 

c) You have the option to opt out of auto-renew so that your membership renews manually, where we will send you an invoice for payment.  This is done via your Account portal or by contacting WOB.

d) We may increase the Fee year on year, but we will notify you in advance as set out in clauses 3.3.1(a) and 3.3.2(a).

3.3.1.Auto- renewal

a) We will email you 14 days and again 2 days prior to your renewal date advising you that your membership is about to auto-renew. 

b) If you wish to cancel your auto renewal, you can do so up to 24 hours prior to expiration. 

c) If you choose to opt out of auto-renewal at any time you will be returned to the manual renewal process. 

d) If you do not opt out of auto-renewal and/or continue to use your Membership, we are authorised to charge you the Fee for your level of Membership.

e) If you opt out of auto-renewal you may continue to use the Services that are part of your Membership until the end of the then-current period of your Membership. You will not be eligible for a pro-rated refund of any portion of the Membership Fee paid for the current Membership period. 

3.3.2.Manual Renewal

a) We will email you 14 days and again 2 days prior to your renewal date reminding you that your membership is due for renewal. 

b) You can renew your membership via your Account portal.

c) If you choose not to renew after the date your Membership expires, you will automatically be downgraded to a Subscriber. 

3.4 Termination

3.4.1 We may immediately terminate or suspend your account, and all or a portion of your  
Membership (including a Subscription), without notice if:

a) your payment of the Membership Fee is overdue (we will use reasonable efforts to notify you of the overdue payment before we terminate or suspend);

b) you provide false or inaccurate information in your Account;

c) you violate these Terms or any other applicable terms;

d) you engage in conduct that is a violation of any applicable law (including, without limitation, copyright and intellectual property laws); or

e) if you engage in conduct that is threatening, abusive or harassing to Company  ‘employees, agents, or other users’.

3.4.2 If we terminate or suspend your Membership or Subscription, your licence to use any products or content provided in connection with the Membership is also terminated or suspended (as applicable). If your Membership is terminated, we have the right to immediately delete all data, files, and other information stored in or for your account without further notice to you. You must pay all charges up to and including the date of termination and no refund of all or part of the Fee is due.

3.4.3 Any agreement you have with your payment provider governs your use of your specified payment method.

3.5 Your Cancellation Rights

3.5.1 If you wish to cancel your Membership or Subscription or delete your Account completely, please CLICK HERE or contact Member Support at +61 2 4321 0100 or email us at [email protected]

3.5.2 WOB does not have a refund policy for Membership, except in the case of exceptional circumstances. However, we will consider any request for a refund of the Fee for a Member if you write to us, setting out the reasons why you believe you are entitled to a refund. Our aim is to always treat people fairly.

3.5.3 If you give us written notice under Clause 3.3.5, we may refund any Fee paid (or part thereof) by you if, in our opinion and at our sole discretion, exceptional circumstances apply.

4. WORKSHOPS, EVENTS & ON-DEMAND LEARNING POLICY

These terms are designed to ensure all events run smoothly and operate within relevant legislation.  The Cancellation Policy is based on the notice that WOB is required to give to venues and caterers when it is running Events and the Fees that we incur on your behalf.

4.1 You must register via the Website to attend an Event.

4.2 When attending an Event, you will comply with all security, health and safety and all other instructions relating to the venue where the Event is being held.

4.3 You agree that for reasons outside of our control, the date and/or time of the Event and/or the location of the Event may need to be changed. In such circumstances, we shall notify you with the new date, time and/or location.

4.4 If we are unable to re-schedule an Event, we shall refund you the Fee.

4.5 Cancellation Policy

If you wish to cancel the following policies will apply:

4.5.1 Workshops, Masterclasses & Short Courses

a) Refunds are available if notice is given via your Account portal, by email or telephone up to three business days (72 hours) prior. 

b) For cancellations less than three business days (72 hours) prior to the workshop, a credit for attendance at another similar event is provided. 

c) Cancellations within one business day (24 hours) or less will not receive any refund or credit, however you may substitute an alternate in your place. 

d) In the case of exceptional circumstances, a refund will be considered.

4.5.2 Programs

a) Refunds are available if notice is given by email or telephone 31 days prior to the advertised start date. Cancellations cannot be done via your Account portal.

b) For cancellations 8-30 working days prior to the advertised start date, a refund will be provided if your place can be filled by another paying participants. You may substitute an alternate in your place. 

c) Cancellations 7 days or less will not receive any refund or credit (unless the place can be backfilled by someone on a waiting list). You may substitute an alternate in your place. 

d) In the case of exceptional circumstances, a refund will be considered.

4.5.3 Networking Events

a) If notice is given by your Account portal, email or telephone up to three business days (72 hours) prior to the event a refund or credit will be provided. 

b) For cancellations less than three business days (72 hours) prior to the event an alternate may be substituted via email or telephone. 

c) In the case of exceptional circumstances, a refund will be considered.

4.6 Pay Later  

If PAY LATER is selected at the time of purchase, payment for all Events other than Programs is required within 48 hours. Your place will be forfeited if payment if not received within this time. All cancellation policies apply on the basis that the purchase was made on the date that PAY LATER was selected.

4.7 On Demand Learning

No refunds are available for online / On-demand learning products / modules purchased once the purchase has been made and login details allocated.

5. VACANCY BOARD

5.1 The Vacancy Board is provided for information purposes only. We do not seek to introduce work-seekers to recruiters and/or hirers or vice versa, in respect of any specific vacancy or otherwise. We do not act as an employment agency and/or an employment business.

5.2 WOB will contact Members with information about listings on the Vacancy Board on a regular basis.  Members who do not wish to receive such information, can update their communication preferences on the Website.

5.3 Where a vacancy is listed on our Vacancy Board WOB will provide contact details for the recruiter or hirer who has issued the advertisement, and Members should contact the recruiter or hirer directly for any further information on the role.

5.4 From time-to-time WOB may agree to assist an organisation seeking a candidate for a particular role. In such circumstances, WOB shall contact its Members who may be suitable for the role and ask if they would like us to pass their details on to the organisation. WOB will provide a Member’s contact details to the organisation only if they agree that WOB may do so.

5.5 Any information provided by WOB is provided free of any representations by us as to the suitability of a candidate for a role or the suitability of a role for a particular candidate.

5.6 Post a Vacancy Plans

a) The Fee for paid Post a Vacancy Plans is due in full, in advance and is non-refundable.

b) Any Subscriber can purchase a paid Post a Vacancy Plan at any time. Once the Fee has been paid, we shall review the content you provide to WOB for the position that is to be the subject of the listing.  WOB may ask you for further information about the position and your business generally. When we are reasonably satisfied that the position contains all appropriate information, we shall approve the position to the Vacancy Board and begin to provide the Services under the Post a Vacancy Plan.

5.6.1. As part of the paid Post a Vacancy Plan, WOB contacts Members with information about listings that we think might interest them. 

5.6.2 Whilst we shall act with reasonable skill and care in providing the Post a Vacancy Service, hirers and recruiters accept that we cannot and do not warrant that we will find a suitable Member for each position and/or that any Member referred will be suitable for a position.

5.6.3 On receipt of the contact details of a Member, you shall comply with all applicable laws and regulations relating to the processing of personal data. Without prejudice to this obligation, you shall treat all personal data and other information relating to a Member as confidential and keep all such information secure, and not share such data with any third party, or use such data for any purpose except to consider the Member’s suitability for the position.

5.6.4 Notwithstanding any other provision of these Terms, you shall satisfy yourself as to the suitability of any Member for a position. All normal, prudent checks should be carried out including identity checks, checking qualifications and experience.

6. PAYMENT INFORMATION

6.1 All payments made to the Company will be in AUD $ and include GST.

6.2 Payment of the annual membership fee, Event registrations and other products and services may be made by EFT, BPay or credit card (visa, mastercard or AMEX). 

6.3 Credit card payments are made via Ezidebit through SSL encryption.  WOB holds no credit card details or records on its system. Ezidebit has the following Terms and Conditions

a) Ezidebit is the third-party payment facility used by WOB. When you pay your membership on automatic renewal you are using Ezidebit to arrange the direct via credit card.

b) You are entering into an agreement with Ezidebit to allow it to set this facility up. These are a copy of the Terms and Conditions that you are agreeing to.

c) Note that payments from Credit Cards may show as "Ezidebit" in your Financial Statement.

d) It is important that you understand and accept the Terms and Conditions in using the Ezidebit payment system.

6.4 WOB reserves the right to use a different card payment system should the need arise.

6.6 Pay later

a) If PAY LATER is selected at the time of purchase, payment is strictly required within 48 hours for all Events except programs.

b) Your place will be forfeited if payment if not received within this time. 

c) All cancellation policies apply on the basis that the purchase was made on the date that PAY LATER was selected.

d) If you select PAY LATER and use Member Services (e.g Find a Vacancy or Member only resources), the full fee will be due and payable and the cancellation policy outlined in 4.5 will NOT apply.

7. WEBSITE POLICY

7.1 Accessing the website

7.1.1 WOB will use reasonable endeavours to make the Website available to you at all times. However, there may be occasions when access to the Website may be interrupted, including for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and/or equipment.

7.1.2 You should treat your log-in details as confidential and not share them with any third party. WOB has the right to disable any log-in details, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms.

7.1.3 You are responsible for making all arrangements necessary for you to have access to the Website.

7.1.4 We accept no responsibility for adverts contained within the Website. If you agree to purchase products and/or services from any third party who advertises on the Website, you do so at your own risk. The advertiser, and not us, is responsible for such products and/or services and if you have any questions or complaints in relation to them, you should contact the advertiser.

7.1.5 The Website may contain links to websites or apps operated by third parties. We do not have any influence or control over any such third-party websites or apps and we are not responsible for and do not endorse any third party websites or apps or their availability or content.

7.2 Uploading material to the website

7.2.1 Whenever you make use of a feature that allows you to upload material to the WOB Website, including the Vacancy Board, creating profiles, or our community platform WOBShare, our Acceptable Use Policy applies.

7.2.2 Any material you upload to the Website will be considered non-confidential and non-proprietary, and WOB has the right to use, copy, distribute and disclose to third parties any such material for any purpose. WOB also has the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you breaches their intellectual property rights, or their right to privacy.

7.2.3 WOB is not responsible, or liable to any third party, for the content or accuracy of any materials posted by any other user of the Website.

7.2.4 WOB has the right to remove any material or posting you make on our Website for any reason, including if in our opinion, such material does not comply with the content standards set out in our Acceptable Use Policy.

7.2.5 You must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the server on which our Website is stored or any server, computer or database connected to our Website. You must not attack the Website via a denial-of-service attack or a distributed denial-of service attack. If you breach this provision, you would be committing a criminal offence under the Computer Misuse Act 1990 (as amended). We will report any such breach to the relevant law enforcement authorities, and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Website will cease immediately.

7.3 Linking to the website 

7.3.1 You may link to the homepage of the Website, provided you do so in a way that is fair and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

7.3.2 You must not establish a link from any website that is not owned by you.

7.3.3 We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy

8. DATA SECURITY

WOB is a client of Advanced Solutions International (Asia-Pacific) Pty Ltd (ASI) and is part of its iMIS EMS environment. The website and our client data is housed on ASI’s Cloud Services platform on infrastructure provided through the Microsoft Azure platform in the Australia East or Australia Southeast regional data centres. 

Within the iMIS EMS environment, each client’s database is stored separately from each other with access credentials unique to each client.  ASI also assumes full PCI-DSS compliance responsibility for all requirements in the operating environment in which their iMIS processing takes place and your data is housed.

In addition to the secure development practices used to develop, create, and maintain iMIS EMS, ASI maintains many operational layers of protection including:

8.1 24/7/365 Managed Detection Response (MDR) monitoring service of SentinelOne behavioral analysis antimalware sensors by the CriticalStart global security operations center (SOC);

8.2 Additional security instrumentation of all Azure SQL database, application services, and key vaults by the Microsoft Azure Sentinel/Defender suite;

8.3 iMIS application protection by the Cloudflare Web Application Firewall (WAF) to stop threats before they even get to the web application;

8.4 multi-factor authentication of all remote access enforced by Azure Active Directory policy;

8.5 monthly vulnerability scanning using secured Coalfire scanners (we cannot even get into them ourselves);

8.6 deployment of Microsoft’s Privileged Access Workstation (PAWS) and Local Administrator Password (LAPS) systems to prevent the leveraging of domain and local admin credentials across environment resources;

8.7 enablement of Azure SQL Database Transparent Data Encryption (TDE) to protect data at rest;

8.8 AES-256 encryption of all data in transit forced from within the iMIS EMS application itself;

8.9 continuous Azure SQL Database backups to secure and replicated data stores with a transaction-based restoration increment of as little as five minutes;

8.10 a full-time Information Security Analyst dedicated solely to continuous assessment and proactive response to all aspects of our corporate security posture.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 WOB is the owner or the licensee of all intellectual property rights in the Materials.

9.2 We grant to you the right to use and review the Materials for your own personal use. If your Membership is part of a corporate Membership, you may draw the attention of others within your organisation to the Materials.

9.3 You must not modify the Materials in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of Material must always be acknowledged.

9.4 If you wish to make any use of Material other than that set out above, please address your request to [email protected].

10. OUR LIABILITY TO YOU

10.1 You acknowledge and agree that the Materials are provided for information only and do not constitute advice or recommendation by WOB. We do not warrant or represent that any result or objective shall be achieved, be achievable or be attained whatsoever by use of the Website, including the Vacancy Board.

10.2 To the maximum extent permitted by law (a) WOB disclaims all liability whatsoever, whether arising in contract, tort (including negligence) under statute or otherwise in relation to the Website, the Services and the Materials; and (b) all implied warranties, terms and conditions relating to the Website, the Services and the Materials (whether implied by statute, common law or otherwise), including any warranty, term or condition as to accuracy, completeness, reliability, satisfactory quality, performance, fitness for purpose, availability and non-infringement are excluded.

10.3 We shall have no liability in contract, tort (including negligence), under statute or otherwise, as a result of or in connection with the Website, the Services and/or the Materials for any indirect or consequential loss or damage incurred by any user including but not limited to (a) loss of income or revenue; (b) loss of business; (c) loss of profits or contracts; (d) loss of anticipated savings; (e) loss of data; (f) loss of goodwill; and/or (g) wasted management or office time.

10.4 If, notwithstanding provision of this Clause 21, we are liable to you whether in contract, tort (including negligence and breach of statutory duty) or otherwise, our maximum liability shall not exceed the Fees paid by you during the previous 12 months for the Service that is the subject of the claim.

10.5 We do not exclude or limit in any way our liability for (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; and/or (c) any other loss that cannot lawfully be excluded.

11. CHANGES TO TERMS

We may revise these Terms from time to time at our discretion for technical or legal reasons, or because the needs of our business have changed.

12. OTHER IMPORTANT TERMS

12.1 We may transfer our rights and obligations under these Terms to another organisation, and we will use reasonable endeavours to notify you in writing if this happens, but this will not affect your rights or our obligations under these Terms.

12.2 You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

12.3 This contract is between you and us. No other person shall have any rights to enforce any of its terms.

12.4 Each of the Clauses of these Terms operates separately. If any court or relevant authority decides that any of the Clauses are unlawful, the remaining Clauses will remain in full force and effect.

12.5 If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

12.6 These Terms are governed by Australian law. You agree to submit to the exclusive jurisdiction of the Australian courts.

14. SOCIAL MEDIA POLICY

We encourage interesting and lively discussion and embrace the opinions of our followers. Our social media policy is a set of principles we use to protect our organisation, members and online community.

We encourage conversations with our members, the public and other key groups across our social media platforms. 

14.1.Social media principles

a) We will not respond to spam or comments that are off-topic, offensive, untruthful, defamatory, threatening, discriminatory or demeaning.

b) We may delete your comments if it goes against our social media guidelines. We may also consider blocking your account.

c) We respect that everyone has different opinions, and we encourage lively discussions. But, if your opinion doesn’t relate to our post or conversation, or if we feel you are trying to hijack the conversation, we may remove it. 

d) We ask that you respect our point of view. If you strongly disagree with what we stand for and consistently dislike our content, please feel free to ‘unlike’ or ‘unfollow’ our pages.

e) Posts that appear on our pages but were not shared by us, represent the opinions of those posting, not Women on Boards Australia.

We will remove ALL unsolicited advertising from our social media pages.

15. WOBShare

WOBShare is Women on Boards’ Community Platform.  The purpose of the WOBShare platform is to enable members to connect, engage, learn and share in a safe and secure environment, free from advertising and self-promotion.

This platform is curated for the exclusive use of Classic, Premium, Corporate and Champion Members.

To ensure a pleasant experience for all members, please respect these guidelines and the rules below.

15.1 Discussion Guidelines

Discussion should:

  • Relate to issues around boards, leadership and diversity
  • Encourage discussion amongst group members 
  • Help you to connect with other members 
  • Please refrain from posting unrelated comments, quotes and greetings. 

15.2 Events and Promotions

  • Posts that self-promote, tout for business or advertise WILL BE removed. 
  • Please do not post board vacancies in this group.  If you would like to advertise a board role, please post it via the WOB Vacancy Board to ensure it will viewed by all members. Listings are free and emailed weekly to our members. 

15.3 Professionalism

  • Discussions should be professional and courteous. 
  • Please use your best judgment when posting comments to not offend or discriminate against other group members. 
  • Inappropriate posts will be removed.
  • Members who post unrelated content will be removed.

15.4 Discussion Group Etiquette

  • State concisely and clearly the topic of your discussion in the subject line. This allows members to respond more appropriately to your posting and makes it easier for members to search the archives by subject.
  • No Advertising - DO NOT use WOBShare to advertise your products or business.  Posts of an advertising nature will be deleted. Please use your discretion to ensure that your posts are not seen as advertising.

15.5 The Rules

  • Respect others. Focus on the content of posts and not on the people making them. Please extend the benefit of the doubt to newer guests and members; there’s no such thing as a stupid question.
  • Respect the purpose of the community. Use the community to share successes, challenges, constructive feedback, questions, and goals instead of products or services that you provide. If you’ve found a product or service helpful, please share your experience with the group in a respectful way.
  • Use caution when discussing products. Information posted on the discussion groups and in the libraries is available for all to see, and comments are subject to libel, slander, and antitrust laws.
  • All defamatory, abusive, profane, threatening, offensive, or illegal materials are strictly prohibited. Do not post anything that you would not want the world to see or that you would not want anyone to know came from you.
  • Respect intellectual property. Post content that you have personally created or have permission to use and have properly attributed to the content creator.
  • When posting items in our collaborative environment, please indicate if the item is not available for reuse. It’s also advisable to contact the owner of any material if you would like to reuse it.
  • Post your message or documents only to the most appropriate communities. This helps ensure all messages receive the best response by eliminating "noise."

15.6 Legal Information

  • This site is provided as a service for the Members of WOB.  WOB is not responsible for the opinions and information posted on this site by others. We disclaim all warranties with regard to information posted on this site, whether posted by WOB or any third party; this disclaimer includes all implied warranties of merchantability and fitness. In no event shall WOB be liable for any special, indirect, or consequential damages or any damages whatsoever resulting from loss of use, data, or profits, arising out of or in connection with the use or performance of any information posted on this site.
  • Do not post any defamatory, abusive, profane, threatening, offensive, or illegal materials.  Do not post any information or other material protected by copyright without the permission of the copyright owner. By posting material, the posting party warrants and represents that he or she owns the copyright with respect to such material or has received permission from the copyright owner.
